Definitions:

In this agreement the following words shall have the following meanings:
Service Provider/ Licensor or S2PAY shall mean S2Pay Software Private Limited and shall include its successors and assignees.
‘USER’, ‘CUSTOMER’, ‘YOU’ and ‘YOUR’ shall mean the applicant who registers for S2PAY services and includes his/her heirs and assignees, be it a user or merchant.
SERVICE would mean the S2PAY “Offers” and “Payment” service using mobile, internet or any other method that is made available from time to time.

Eligibility and Registration:

You must be 18 years or older to use the S2Pay services. By registering (whenever applicable) for the S2Pay services, you represent and warrant that you are 18 years or older and that you have the capacity to understand, agree to and comply with these Terms of Service. Indian laws do not permit us to contract with a minor person (minor is a person who has not completed 18 years of age), we do not market our Web site to minor persons under the age of 18.

The following terms and conditions will apply if you wish to use S2PAY services. Please go through the conditions carefully and if you accept them, you may register and transact by Mobile. No user can register more than once. Please note that once you register yourself, you are deemed to have agreed to the terms and conditions set forth below. If you do not agree with all these terms and conditions, you must not transact using S2PAY. By registering with S2PAY you have entered into a formal agreement with S2PAY for the purpose of all transactions using S2PAY.

Subject to your compliance with this agreement. The licensor hereby grants you a limited, non-exclusive, and non-transferable right to install and use the technology on your wireless device/mobile. You agree that the technology is licensed, not sold, to you and is for use only under the terms of this agreement. The licensor is entitled to refuse, restrict, limit, suspend and/or interfere, interrupt or take such measures with regards to the technology or any part thereof as the licensor thinks fit, without any notice to you to install a patch, revise, update, replace, repair, improve, remove and/or upgrade the technology or any part thereof for any other reason whatsoever.

The terms of this agreement will govern any upgrades, revisions, updates or replacement of the technology provided by the licensor that will replace and or supplement the original technology, unless such upgrade is accompanied by a separate license of terms and conditions, in which case the terms of that license will govern.

Terms and Conditions:

We reserve the right to add to or change/modify the terms of this Agreement including but not limited to suspend/cancel, or discontinue any or all service at any time without notice, make modifications and alterations in any or all of the content, products and services contained on the site without prior notice. Such changes will be posted to www.s2pay.com for your convenience to understand your responsibility as a user. You are responsible for regularly reviewing these Terms of Service so that you will be apprised of any changes. You will be deemed to have accepted such change/s if you continue to access the Site subsequent to such changes.

S2PAY’s performance of this agreement is subject to existing laws and legal processes of Govt. Of India, and nothing contained in this agreement is in derogation of S2PAY's right to comply with law enforcement requests or requirements relating to your use of this service or information provided to or gathered by S2PAY with respect to such use. You agree that S2PAY may provide details of your use of the service to regulators or police or to any other third party, or in order to resolve disputes or complaints which relate to the service, at S2PAY’s complete discretion. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth herein, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

This agreement constitutes the entire agreement between the customer and S2PAY with respect to the S2PAY payment service and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the customer and S2PAY with respect to this service. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

These Terms of Service constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. There are risks associated with utilizing internet and short messaging system (chat) based information and research dissemination services. Users/subscribers are advised to understand that the services can fail due to failure of hardware, software, and Internet connection. While we ensure that the email/messages are delivered in time to the user/subscribers, the delivery of these email/messages to the customer's email inbox or message center is the responsibility of the email/messenger's service provider Network. Email/messages may be delayed and/or not delivered to the user/subscriber's inbox or chat box on certain days, owing to technical reasons that can only be addressed by the service provider, and S2Pay and group companies associated with it and/or its employees cannot be held responsible for the same. S2Pay hereby expressly disclaims any implied warranties imputed by the laws of any jurisdiction. We consider ourselves and intend to be subject to the jurisdiction only of the courts of the Mumbai in India. If you don't agree with any of our disclaimers above please do not read the material on any of our pages. This site is specifically for users in the territory of India. Although the access to users outside India is not denied, s2pay shall have no legal liabilities whatsoever in any laws of any jurisdiction other than India. We reserve the right to make changes to our site and these disclaimers, terms, and conditions at any time. You agree to indemnify, defend and hold the licensor, its partners, its affiliates, contractors, officers, directors, employees and agents harmless from all damages, losses and expenses arising directly or indirectly from

(a) Any negligent acts, omissions or willful misconduct by you,
(b) Your use of the technology,
(c) Any breach of this agreement by you, and/or
(d) Your violation of any law or of any rights of any third party.

Licensor, its affiliates, its suppliers and distributors are not obligated to create or provide any support, corrections, updates, upgrades, bug fixes and/or enhancements of the technology.

Information Collected:

S2Pay will only collect, store, use, and share your personal information (including email address) as it is defined by our Privacy Policy and as regulated by Indian laws. We do not disclose user's information (including email address) to third parties except when the user requests to utilize services from other service providers. In just case, we will disclose information to the appropriate government officials if the law so compels us.
Only information you have given us (including email address) is stored by us. We do not supplement your information with information from other companies.
When you use services and other tools on our Web sites that may or may not require registration, S2Pay may collect non-identifiable data from such tools, to help us customize offers and tools to your particular interests. S2Pay will not record or track any data you enter into standalone tools in any way that identifies you personally, unless we specifically inform you that we are doing so at the time you provide such data.
If you do not want to receive promotional email or product information from us in the future, please let us know by sending an email to us or calling us or writing to us at the details specified on “Contact Us” page and telling us that you do not want to receive e-mail from our company.

You are aware of all security risks, including possible third party interception of any of your transactions and statements of account on the Internet and the contents of your transactions or statements of account becoming known to third parties. You agree and undertake that you shall not hold S2PAY liable therefore in any way. The use and storage of any information, including without limitation, the Card number, PIN, password, account information, transaction activity, account balances and any other information available on your Internet access device or computer or mobile phone is at your own risk and responsibility.
User shall not disclose the PIN to any person and shall take all possible care to avoid its discovery by any person. The user shall be liable for all transactions made with the use of the PIN, whether with or without the knowledge of the Cardholder. S2PAY reserves the right to refuse any transactions if it believes that the PIN is being misused or being used without appropriate authorization.

Charges:

Charges would mean any charges and fees levied by S2PAY to the registered customer for the use of the S2PAY service,it may also include sms charges according to your sms plan for device verification to enable S2Pay and may change from time to time with or without modifications & on such display it will be presumed to be read by all users whether registered or not & no further notice would be required. The same will apply for any service/s or products, which are currently being offered without any charges, whenever made chargeable.
All registered users and merchants would be liable to pay these charges for using the S2PAY service. S2PAY is engaged in the business of providing the services to both, i.e. the buyer and the vendor of the goods, merchandise and the necessaries, in the course of which S2PAY would provide a common platform from which the Customer could secure the purchase and the supply of goods etc. and also make the arrangement to secure to the Merchant the payment of the price therefore in terms of the Merchant redeeming the S2PAY electronic coupons issued by the S2PAY on their behalf. S2PAY provides only the facility for transacting with other registered users and merchants through Mobile phones and the Internet.

You acknowledge that data charges may be incurred through your use of the application and you agree that you are responsible for any and all such charges that may be charged to you and that licensor shall have no liability to you whatsoever in respect of such charges.

Appropriate Individual Registration, Access & Conduct of user and Use of S2Pay service:

S2Pay service is made available for your personal, non-commercial use only.
You may not use S2Pay service for any illegal or unauthorized purpose, including misusing account of another person. International users agree to comply with all Indian laws & regulations, including laws regulating the export of data from the United States or your country of residence. You are solely responsible for your conduct and any data, text, information, graphics, that you submit, & post on to S2Pay services.

Other examples of illegal or unauthorized uses include, but are not limited to:

-modifying, adapting, translating, or reverse engineering any portion of the S2Pay services.
-removing any copyright, trademark or other proprietary rights notices contained in or on S2Pay services.
-using any robot, spider, site search/retrieval application, or other device to retrieve or index any portion or the S2Pay services.
-creating user accounts by automated means or under false or fraudulent pretenses.
-creating or transmitting unwanted electronic communications such as "spam," or chain letters to or otherwise interfering with other user's enjoyment of the service by blocking.
-submitting data of any third party without such third party's prior written consent.
-submitting Materials that falsely express or imply that such Materials are sponsored or endorsed by S2Pay.
-submitting Materials that infringe, misappropriate or violate the intellectual property, publicity, privacy or other proprietary rights of any party.
-transmitting any viruses, worms, defects, Trojan horses or other items of a destructive nature.
-submitting false or misleading information.

Except to the extent otherwise expressly permitted hereunder or otherwise expressly permitted by the licensor, and without limitation, the following restrictions shall apply to your use of the application and the license granted herein:

(a) You may not copy or reproduce any portion of the application;
1. (b) You may only use the application for your own non-commercial use;
2. (c) You may not distribute, share through any information network, transfer, sell, lease or rent, lend redistribute or sublicense the application or any part of it to any other person
3. (d) You may not change, alter, modify or create derivative works, enhancements, extensions or add-ons to the application or any part of it;
4. (e) You may not decompile, reverse engineer or disassemble the application or any part of it and
5. (f) You will at all times comply with, and will not circumvent or attempt to circumvent, any of the restrictions on use set forth anywhere in this agreement.

Any attempt to do any of the acts mentioned in here or anything which jeopardizes the position of the licensor or the application shall be considered as a violation of the rights of the application and the licensor, in which case you will be subject to such legal action and damages as the licensor is allowed under the laws and deems appropriate.
While S2Pay prohibits such conduct on its site, you understand and agree that you nonetheless may be exposed to such misuse or blocking by other users and that you use S2Pay services at your own risk.

For certain services such as Email, contents, Online apply and others, registration by the visitor is required. By registering, you agree to the following terms in addition to any other specific terms, which shall be posted at an appropriate location of the Site. Each registration is for a single individual user. To access these services, you will be asked to enter your individual User Name and Password. Therefore, we do not permit any of the following:

-Any other person sharing your User Name and Password
-Any part of the Site being cached in proxy servers and accessed by person/s who have not registered with S2Pay as users of the Site & Service/s

If we reasonably believe that a User Name and Password are being used / misused in any manner as clarified above we reserve the right to cancel access rights immediately without notice, and block access to all users from that IP address.
In many cases, we provide services of third parties, or our Services in conjunction with that of third parties. In those cases, the following conditions apply: We provide such services subject to the terms, conditions and limitations imposed by those third parties. If those third parties change, suspend or stop providing such services, we may similarly change, suspend or stop providing the Services to you without notice. We may nevertheless endeavor to provide such a Service in another way or by using another third party. You authorize us to provide any of your Personal Information (as defined in our Privacy Policy) to those third parties to the extent that it may be necessary to enable the third parties and us to provide the services to you. To the extent that there is a conflict between the third party's Terms and Conditions and these Terms, these Terms will prevail.
When you acquire goods, software or any other services from a third party through any of our Services, you understand and agree that:

-we are not a party to the contract between you and the third party;
-we are under no obligation to monitor the Third Party Service used by you;
-the third party will be responsible for all obligations under the contract including (without limitation) warranties or guarantees; you will evaluate the product, software or service and the applicable terms and conditions before acquiring the product, software or service; and
-you indemnify us against any damages howsoever arising from your acquisition and use of the goods, software or service.

We also reserve the right to reject or refuse any Third Party Service used by you in conjunction with our Service.

Copyright and Trademarks:

Unless otherwise stated, copyright and all intellectual property rights in all material presented on the site (including but not limited to text, audio, video or graphical images), trademarks and logos appearing on this site are the property of S2Pay Private Limited, its parent, affiliates and associates and are protected under applicable Indian laws. Any infringement shall be vigorously defended and pursued to the fullest extent permitted by law. Except as otherwise expressly authorized, You may not copy, reproduce, modify, lease, loan, sell, create derivative works from, upload, transmit, or distribute the Intellectual Property of S2Pay in any way without S2Pay’s prior written permission. Except as expressly provided herein, S2Pay does not grant to you any express or implied rights to S2pay’s or any third party's Intellectual Property. S2Pay grants you a limited, personal, non-transferable, non-sub-licensable, revocable license to access and use only the S2Pay Intellectual Property only in the manner presented by S2Pay and expressly permitted by S2Pay.
Except for this limited license, S2Pay does not convey any interest in or to the S2Pay Intellectual Property. Except to the extent required by law or as expressly provided herein, none of the Content and/or Information may be reverse-engineered, modified, reproduced, republished, translated into any language or computer language, re-transmitted in any form or by any means, resold or redistributed without the prior written consent of S2Pay. You shall not make, sell, offer for sale, modify, reproduce, display, publicly perform, import, distribute, retransmit or otherwise use the Content in any way, unless expressly permitted to do so by S2Pay.

Exchange and Uploading of Information:

All information, data, text, software, graphics, video, messages or other materials, whether publicly or privately transmitted / posted, is the sole responsibility of the person who posts such information, data, text, etc.
Forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the service.
You as a responsible adult (18 years or above) shall be solely responsible for all content that you upload post or otherwise transmit. Under no circumstances will S2Pay be liable in any way for any content, including, but not limited to, for any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any content posted or uploaded. You agree not to upload, post, or otherwise transmit any matter or views, which are, defamatory, abusive, obscene, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable. You may also not indulge in cyber stalking, become or create a nuisance for any person / user.
You may not send, submit, post, or otherwise transmit, material or messages that contain software virus, or any other files that are designed to interrupt, destroy, and negatively affect in any manner whatsoever, any electronic equipment in connection with the use of this site, or other user's ability to engage in real time exchanges.

Proprietary Rights of S2Pay:

S2Pay reserves its right to terminate your account without any prior notice for any violation of the Terms of Use.
By submitting or furnishing any personal information, data or details on or through S2Pay service/s, you automatically grant to us non-exclusive, permission & irrevocable right to hold & store your, such personal information, data or details and related information. Our use of your personal information is governed by our Privacy Policy and we will never rent, sell or share your personal information with any third party for marketing purposes without your express permission.
It is our policy to respond to notices of alleged infringement that comply with the Copyright Act.
By submitting or furnishing any content and or suggestions other than your personal information on or through the S2Pay service/s, you automatically grant to us a worldwide, non-exclusive, permission & irrevocable right & such content & suggestions becomes the property of S2Pay and you agree to grant/assign the royalty free, perpetual right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such content (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed.
The application is protected by copyrights and other intellectual property laws and treaties as applicable in India. All title to, and /or any related documents are and shall remain owned and /or controlled solely and exclusively by the licensor. The licensor reserves all rights in the application and/or any related documents not specifically granted to you under this agreement. This agreement does not grant you any rights to trademarks, copyrights or patents or any other intellectual property rights of the licensor. You are not permitted to use the copyrighted content outside the normal functions of the application without the prior written consent of the licensor.

Email Services:

On selection of email Alert service, you agree and grant non-exclusive, permission and irrevocable right to send emails & alerts by way of messages or other formats as time to time decided by us on commercial expediency prudence and that your prior permission to continue or change such method is deemed to have been agreed & granted by the user.
By signing up for S2PAY services, you also allow S2PAY to send you emails and SMS alerts from time to time.

Disclaimer of Warranties and Liability:

All the contents of this Site are only for general information or use. They do not constitute advice and should not be relied upon in making (or refraining from making) any decision. Any specific advice or replies to queries in any part of the Site is/are the personal opinion of such experts/consultants/persons and are not subscribed to by this Site. The information from or through this site is provided on "AS IS" basis, and all warranties, expressed or implied of any kind, regarding any matter pertaining to any goods, service or channel, including without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement are disclaimed and excluded.
S2Pay Software Private Limited, its directors, employees, agents, representatives and the authors and its parent, affiliates and associates shall not be liable, at any time for damages (including, without limitation, damages for loss of business projects, or loss of profits) arising in contract, tort or otherwise from the use of or inability to use the Site, or any of its contents, or from any act or omissions as a result of using the Site or any such contents or for any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communications line failure, theft or destruction or unauthorized access to, alteration of, or use of information contained on the site. No representations, warranties or guarantees whatsoever are made as to the accuracy, adequacy, reliability, completeness, suitability or applicability of the information to a particular situation.
We will always endeavor to provide the Services to the best of our ability. You are however aware that the Services will involve transmissions over various networks and that it will change to conform and adapt to the technical requirements of connecting networks and devices. There are also various other factors, which do not lie within our control.
Under these circumstances then, we provide all Services "as is" and "as available"; and do not warrant or guarantee that any Service is free of errors or interruptions and will conform with your timelines; is always available and reliable; is secure; although we take appropriate security measures against unauthorized access to or unauthorized alteration, disclosure or destruction of data; is fit for any purpose; or does not infringe any third party rights.
Where S2PAY acts on good faith in response to any oral or electronic instruction or inquiry from you in respect to any matter in relation to your account, you will not be entitled to claim or allege any loss, damage, liability, expense etc., attributable, directly or indirectly, to any such good faith action of S2PAY and you agree to hold S2PAY harmless in respect thereof.
S2PAY is being offered as a service using mobile phones and through the S2PAY website, and will be offered by other methods as intimated to users over time.
However, different mobile service providers may have made different restrictions / limitations in their packages offered to their mobile subscribers. S2PAY is not responsible for any such limited service offering from any Mobile service provider or for such differences in between any two or more such providers. You may be charged a fee for using SMS and mobile services by your mobile operator, and S2PAY is not responsible for such charges.
S2PAY will be entitled to enter into any tie-up in terms of joint-venture or otherwise with any other institution engaged in the business of providing services analogous and/or similar to those herein contained. In such case, depending upon the modality and the mechanism as may be devised, the Customer will be provided with the services by the Service Provider jointly and/or severally with the party/ies in joint venture. Customer hereby gives his irrevocable consent and permission to such a tie-up. In the event of such a tie-up, the terms and conditions herein contained will, mutatis mutandis, become applicable in respect of such tie-up arrangement also.
S2PAY reserves the right to add to or change these terms and conditions and revise policies, benefits and features offered for this service at any time. You will be notified of any such changes by SMS or email and would be required to view the modified changes on the internet. By keeping or using the service after notification, you are deemed to have agreed to the amendment/change. If you do not agree with any amendment of the terms and conditions you may cancel the service by informing in writing to S2PAY.
If required by law to do so or if considered necessary to do so for proper management of credit or business risk, S2PAY reserves the right to disclose any and all Cardholder information, including default in any payments or misuse of the service, to any court of competent jurisdiction, quasi judicial authority, law enforcement agency, relevant wing of the Central Government or State Government, your employer, credit reference agency, financial institution or any company which is an affiliate or associate or parent or subsidiary of S2PAY
You hereby agree that the application and copies of all documents submitted in support thereof and for the ongoing operation of the S2PAY Account by you to S2PAY are and shall remain the sole and exclusive property of S2PAY, and S2PAY shall not be obliged to return the same to you upon your request or upon termination of this Agreement.
You agree to comply with all applicable laws and regulations from time to time which govern or may be affected by the use of the service.
The forbearance, delay or failure on the part of S2PAY to exercise any right under this Agreement shall not operate as waiver of such a right nor preclude any further exercise of that right.
Without in any way limiting the above, S2PAY shall not be liable or responsible to you for any loss, damage, expense, claim or liability arising directly or indirectly out of any defect or deficiency in any goods and services purchased by you or availed as a benefit, privilege or facility attached to the service; refusal by or inability of a Merchant Establishment to honor or accept the service; handing over of the relevant access control/password/PIN by you to any unauthorized person; any injury to the credit, character and reputation of yours alleged to have been caused by the repossession of the service and/or request for its return.
All the services to be availed of and /or the goods to be purchased /procured by the Customer from the third parties under the agreement herein, will be so purchased/procured by the Customer at his own risk and costs. The Service Provider shall not be liable and/or responsible in respect of the title, quantity, quality or any other aspect thereof and no guarantee, warranty or any indemnity shall be given or deemed to be given by the Service Provider in respect thereof.
Any transactions relating to sale/purchase of goods or services not directly offered by S2Pay are to be settled inter-se between the parties and all warranties express or implied of any kind, regarding any matter pertaining thereto, including without limitation the implied warranties of merchantability, fitness for a particular purpose, and non-infringement are disclaimed by this site. This site does not have any involvement in the actual transactions between the buyers and sellers in any way.
As your account is connected to your mobile number, it is your responsibility to inform S2PAY in case you terminate using the mobile number that corresponds to your account. The account corresponding to the mobile number you register with can be accessed by you only till the time you have access to the corresponding mobile number. It is your responsibility to transfer your account to a new mobile number if and when you change your number. Not doing so may give access to your S2PAY store balance to the new user of the same mobile number, and S2PAY will not be liable or responsible for the same. You are also liable for ensuring the security of your PIN. In case of loss of your mobile phone and/or S2PAY Password/PIN, you should intimate S2PAY. S2PAY shall make every attempt to block access to your S2PAY account under such circumstances, however, S2PAY shall not be liable for any losses a user may incur due to the above. The responsibility to safeguard the S2PAY coupon balance rests entirely with the user.
You expressly acknowledge and agree that you are installing and using the application at your own risk. The application and all data and content provided through the application is provided “AS IS”, “WITH ALL FAULTS” and without warranty, term or condition of any kind. The licensor and each of its licensees, affiliates and authorized representatives (the “Parties” or “Party”) expressly declaim all warranties, terms or conditions, whether expressed or implied, including, but not limited to, any implied warranties of merchant ability, satisfactory quality, non-infringement and fitness for a general or particular purpose. The licensor cannot and does not warrant that the application will operate without interruption, that it will be free from viruses and errors, or that the data and content obtained through it will be accurate, reliable or correct. No oral, written, or electronic information or advice given by any party shall create any warranty, term or condition with respect to the application or otherwise. Should the application prove to be defective, you agree to assume the entire cost of all necessary servicing, repairs or corrections.
No party shall be liable for any loss or damage, either direct, indirect, incidental, consequential, personal injury or otherwise including, without limitation, damages for loss of profits, loss of data, business interruption or any other commercial damages or losses or documents, down-time and users time, and/or arising out of or related to use or inability to use the application, however caused, breach of any express or implied warranty, term or condition, breach of contract, negligence, strict liability misrepresentation, failure of any remedy to achieve its essential purpose or any other legal theory arising out of, or related to, this agreement, even if any party concern has been advised of the possibility of such damages.

Privacy:

You acknowledge that by installing the application on your wireless device/mobile, the licensor may collect or retain and use personal and or technical information, including but not limited to, the serial number and IMEI number of your wireless device/mobile, technical information about your device, system and application software, and peripherals. The licensor agree to hold any of your personal information collected in the strictest confidence to the best of its ability. Such information that is gathered periodically is to facilitate the provision of software updates, product support and other services to you (if any) related to the application and may be used, as long as it is in a form that does not personally identify you, and is to improve licensor’s product or to provide related services or technologies to you.
Your use of this Website is subject to our Privacy Policy.

Termination:

S2PAY can terminate services to you without giving any notice if you fail to comply with any terms of this license. You can close your S2PAY account at any time by terminating this Agreement by a written notice to S2PAY. In such event you shall cease all use of this application and must destroy all copies of the application and all of its component parts and associated documents. However, in either case, all S2PAY coupon balances and store card balances in your account shall stand voided, and no refund will be provided.

Force Majeure:

S2Pay shall have no liability to you for any interruption or delay in access to the Site irrespective of the cause.
Force Majeure event shall be one when there is any cessation, interruption or delay in the performance of S2Pay. Governing Law and Arbitration:
